Our Purpose
DIFC Structure
Operating under the DIFC’s robust, English common law-based legal and regulatory framework provides us with a stable, internationally recognized, and highly regulated structure critical for complex cross-border asset management, protection, and detailed succession planning. The Foundation structure, regulated by the independent DIFC Registrar of Foundations, ensures perpetuity, continuity, and professional administration of assets across generations. This framework imposes stringent requirements for corporate governance, compliance, and transparency, safeguarding the Foundation’s integrity and the beneficiaries’ interests.
Governance Structure of a DIFC Foundation
The Council
The Council is the primary governing and administrative body of the Foundation, similar to the board of directors in a company.
- Role: Responsible for carrying out the Foundation's objects, managing its assets, and ensuring compliance with the Foundation documentation (Charter and By-Laws) and DIFC laws.
- Composition: Typically includes a mix of professional third-party fiduciaries, legal experts, and often a representative of the Founding Family (though this is optional for independence).
The Guardian
The Guardian is a critical component that provides independent oversight, protecting the interests of the beneficiaries and the integrity of the Foundation’s purpose.
- Role: Supervises the Council's activities. The Guardian must approve specific, major decisions (e.g., changes to the Foundation's Charter, distributions to beneficiaries, sale of core assets).
- Standing: The Guardian must be independent of the Council and is usually a reputable corporate service provider or a trusted family advisor.
The Founder
- Role: Determines the Foundation's objects, names the first Council members and Guardian, and sets out the rules for asset management and distribution in the Charter and By-Laws.
- Control: Once established, the assets are owned by the Foundation, and the Founder's residual control is limited by the terms of the governing documents.
